“Taking Advantage of the ‘New’ Capital Markets for Liquidity”

Preview: Succession and Strategic Alternatives – A discussion of utilizing Private Equity and Hedge Funds to create liquidity. Private equity firms are investment companies that provide sources of funding to private and public companies. These firms raise capital through private investors and institutions, pooling the raised capital into funds for investment.

Presenter: William L. Tyson; Senior Managing Director, Co-Head of Investment Banking – BB&T Capital Markets, Richmond, VA. Mr. Tyson joined BB&T Capital Markets (a division of Scott & Stringfellow) in the Investment Banking Group as Managing Director and Co-Head of Corporate Finance in July 1997.  On January 1, 2000, Mr. Tyson was named Co-Head of Investment Banking for BB&T Capital Markets. In January, 2002, Mr. Tyson was named to the Executive Management Committee of BB&T Capital Markets and became Senior Managing Director and Co-Head of the Investment Banking Group, which is currently comprised of 75 professionals across 6 distinct Industry Practice Groups and the firm’s Financial Sponsors Group. Throughout his 18 year career in Investment Banking, Mr. Tyson has completed over 100 capital financings and Merger & Acquisition advisory assignments.

“Positive Employee Relations in a Union Free Workplace”

Preview: As a Dunkin’ Donuts franchisee, it’s vital that you remain vigilant and develop proactive practices to create positive employee relationships that will help you union-proof your business. This is crucial not only to protect your employee relations interests but also to protect your bottom line since, in most cases, unionization results in marginalized profits. Now, you might think that as a QSR franchise owner, you’re safe. Unions have already targeted Dunkin’ Donuts and Starbucks workers, and more campaigns aimed at QSRs are inevitable.
Presenter: Peter Bergeron, Vice President of Client Services for Projections, Inc. has spent most of his 33+ years of service with General Dynamics managing all areas of Human Resources with particular emphasis on Labor/Employee Relations and Union Avoidance. Most notably, Peter’s primary successful union avoidance experience thwarted many large union organizing efforts at one of General Dynamics’ largest non-union production facilities. Peter was utilized by numerous General Dynamics business units throughout the country to lead counter-organizing efforts in campaigns ranging from as few as 13 to as many as 5,600 employees.

“Issues and Implications for DD Operators of Dunkin Brands as a Publicly Traded Entity”

Preview: Dunkin Brands became a publicly traded entity again in July 2011, for the first time in 30 years. There will be implications for all DD operators going forward. This breakout session explains what happened and why, what future issues will be, an overview of the restaurant investment world and implications for operators going forward. This session will be conducted by John A. Gordon, Principal with Pacific Management Consulting Group, a chain restaurant analysis and advisory firm. Gordon will lead the discussion, and answer questions.

Presenter: John A. Gordon is Principal and founder of Pacific Management Consulting Group, John has over thirty years experience in business, spanning roles from operations management, to corporate positions as Cost Analyst, Manager of Financial Planning and Budgeting and Chief Financial Officer. John’s background is centered in financial management business operations and financial management (including, but not limited to; business plan and financing plan development, budgeting and financial planning and analysis, best practices and management systems implementation, and general management.

“Employer Legal Update & Review”

Preview: A review of recent updates and changes to Federal & State Employment laws in regards to child labor, meal breaks, tip-pooling, paid sick leave, overtime, etc. Franchise owners will have the opportunity to ask specific questions relating to employer mandates and laws.


Presenter: Dan Field of Morgan, Brown & Joy, Boston, MA. Dan represents employers in a variety of labor and employment matters with a special focus on wage and hour compliance and litigation defense in employment disputes. He defends companies facing government audits and wage and hour class/collective action lawsuits frequently. Dan also represents businesses in litigation involving claims of discrimination, sexual harassment, trade secret violations, torts and breach of contract arising from employment relationships. The former Chief of the Massachusetts Attorney General’s Fair Labor Division, which is Massachusetts’ principal labor law enforcement authority, Dan was responsible for overseeing enforcement of Massachusetts’ wage and hour laws as well as its prevailing wage and public bidding laws. Dan represented the Attorney General before the legislature and prepared legislation on labor standards as well as regulatory guidelines. Working with the United States Department of Labor, he prosecuted multiple civil and criminal cases involving overtime, pension-benefit, tax and insurance fraud. He served previously as an assistant district attorney with the Middlesex District Attorney where he was awarded a special citation for distinguished service. A seasoned litigator, Dan has served as lead counsel in more than 50 jury trials.

“Tax Strategies for Saving Cash”

Preview: There are two tax saving strategies highlighted in this session that can significantly save you money and increase your wealth when used correctly and at the right time. The first part of the session deals with IRC 1031 Exchanges. You will learn the benefits of utilizing a Tax Deferred Exchange as a method to allow property owners to trade one property for another without having to pay any federal income taxes on the transaction. The second part of the session is about Cost Segregation. A Cost Segregation Study operates on the same principle that most good tax planning relies on – by decreasing current income, you defer income taxes to a later tax period, and gain financially due to the time value of money related to the taxes deferred.

Halligan, President of the Exchange Authority and an active member of the FEA (Federation of Exchange Accommodators).Tim is a former resident of upstate New York and moved to Massachusetts in 1999 to join Exchange Authority as a principal and partner. Tim brings to the Exchange Authority over 30 years of real estate and Exchange related experience. Tim teaches accredited §1031 exchange courses for CPAs, Realtors, Attorneys and Financial Planners.
Cost Segregation Studies: Jeff Hiatt, Owner, Performance Business Solutions. Jeff has lectured on cost segregation providing CPE training to accounting firms and tax institutes. He has been a speaker for the Boston Tax Institute, Massachusetts Society of CPAs, New Hampshire Society of CPA’s, Maine Society of CPAs, Massachusetts Association of Public Accountants, New Hampshire Society of Accountancy, Maine Real Estate Developers Association, and New Hampshire Commercial/Industrial Board of Realtors.
